Terms of Service
The rules governing your use of the Pramaana platform and website.
1. Agreement
These Terms of Service ("Terms") govern your use of parmaanalabs.com and the Pramaana audit-evidence and data-provenance platform (the "Service"), operated by Pramaana Labs, LLC ("the Company," "we," "us," or "our") at 125 Summer Street, 16th Floor, Boston, MA 02110. By accessing or using the Service, you agree to be bound by these Terms on behalf of yourself and, where applicable, the organization that has authorized your access. If you do not agree, do not use the Service.
The Service is designed for enterprise use by internal audit and compliance professionals. If you are using the Service under a separate written subscription agreement with the Company, that agreement governs where it conflicts with these Terms.
2. Use of the Service
- You must be at least 18 years old and have authority to bind yourself or your organization to these Terms.
- You agree not to use the Service for unlawful purposes, to interfere with its operation, or to attempt unauthorized access to systems, data, or other users' accounts.
- You may not scrape, reverse-engineer, decompile, or copy the Service except as permitted by applicable law.
- You are responsible for ensuring that your use of the Service -- including the upload of audit evidence files -- complies with any applicable recordkeeping obligations your organization has under SEC, PCAOB, FINRA, or other regulatory requirements. The Service is designed to assist your compliance workflow; it does not substitute for your organization's own compliance program.
3. Intellectual Property
The Service, including the trace engine, citation-graph algorithms, all text, graphics, logos, and software, is owned by the Company or its licensors and is protected by U.S. and international intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose -- audit-evidence provenance analysis within your organization.
All trace reports, evidence packages, and other outputs generated from your documents belong to you and your organization. The Company claims no ownership over your uploaded audit materials or the provenance outputs derived from them.
4. Customer Content and Data
You are responsible for any content you submit through the Service, including audit evidence files, working papers, and messages. You represent that you have all necessary rights and authorizations to submit such content for provenance processing. You grant us a limited license to use, store, and process the content solely as necessary to provide the Service, maintain audit logs required for the Service's integrity guarantees, and respond to your requests.
We do not use your uploaded documents or working-paper files to train, update, or improve any machine-learning model. No customer audit data is ever used for model training. This is a core, unconditional commitment of the Service.
5. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT ANY PROVENANCE TRACE RESULT IS SUITABLE FOR USE AS LEGAL EVIDENCE IN ANY PROCEEDING WITHOUT INDEPENDENT VERIFICATION. TRACE CONFIDENCE SCORES ARE ESTIMATES; FINAL AUDIT JUDGMENT REMAINS WITH THE CUSTOMER.
6. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR IN CONNECTION WITH YOUR USE OF THE SERVICE, INCLUDING ANY RELIANCE ON PROVENANCE TRACE RESULTS. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS PRIOR TO THE CLAIM OR (B) USD $100.
Some jurisdictions do not allow the exclusion of certain warranties or limitation of certain damages; in those jurisdictions, our liability will be limited to the maximum extent permitted by law.
7. Indemnification
You agree to defend, indemnify, and hold harmless the Company from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from (a) your use of the Service in violation of these Terms, (b) your violation of applicable law, or (c) your violation of any third-party right in connection with content you upload to the Service.
8. Termination
We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including violation of these Terms. Sections that by their nature should survive termination will survive, including Sections 3, 5, 6, 7, 9, and 10. Upon termination, we will delete your uploaded documents and citation graphs in accordance with the retention terms in our Privacy Policy.
9. Governing Law; Dispute Resolution
These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict-of-law principles.
Informal Resolution. Before filing a formal claim, you agree to contact us at [email protected] and attempt to resolve the dispute informally for at least 60 days.
Arbitration. Any dispute that cannot be resolved informally will be settled by binding arbitration administered in Massachusetts, USA under the rules of the American Arbitration Association ("AAA"). The arbitration will be conducted in Boston, Massachusetts or by remote means if agreed. Judgment on the arbitrator's award may be entered in any court of competent jurisdiction. You and the Company each waive the right to a jury trial and the right to participate in a class action.
Exception. Either party may seek injunctive or other equitable relief in a court of competent jurisdiction located in Massachusetts, USA for claims involving intellectual-property infringement, unauthorized access to the Service, or the misuse of confidential audit data.
10. Changes to These Terms
We may update these Terms from time to time. Material changes will be posted with a new "Last updated" date and, where appropriate, a notice on the Service. Continued use of the Service after the effective date of the updated Terms constitutes acceptance of the changes.
